PLEASE READ THIS AGREEMENT CAREFULLY.  BY CHECKING “I AGREE TO THESE TERMS AND CONDITIONS” BELOW, YOU REPRESENT AND AGREE THAT EACH TIME YOU USE OR CAUSE ACCESS TO THIS WEBSITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE, AS AMENDED FROM TIME TO TIME WITH OR WITHOUT NOTICE. 

1. Site Administration and Purpose.  This web site is moderated and administrated by Renesas Electronics America Inc. (“REA”) and/or agents of REA (collectively the “Site Administrator”).  This web site is intended to provide an informal forum for discussion and exchange of information, data, text, software, sound, photographs, graphics, video, messages, tags, or other materials (“Content”) between those who use Renesas microcontrollers or microprocessors.  The Site Administrator may, and reserves the right to, modify or discontinue this web site or its Content, and to delete any Content you may provide.
    
2. Acceptance of Terms.  Each time you use or cause access to this web site, you understand that you are creating an Agreement to be bound by these terms of use and this web site’s  privacy policy, which is incorporated by reference herein, as amended from time to time with or without notice.  In addition, any terms, conditions, rules or guidelines applicable to any service hosted on or accessed via this web site are incorporated by reference into these terms of use.
    
3. Web Site Content.  This web site and the Content provided on and through the web site are provided “AS IS.”  You understand and agree that Content contained on this web site is provided from a variety of sources, and that the Site Administrator is not responsible for the accuracy, completeness, or reliability of any Content contained on this web site.  All Content displayed, available or present on this web site, including any intellectual property rights in such Content are the property of the Site Administrator, its affiliates, its licensors or the designated owners, and are protected by applicable intellectual property laws.  You should assume that everything you see or read on this Website is copyrighted unless otherwise noted, and may not be used without the Site Administrator’s written permission, except as otherwise provided in these terms of use.

Representations and comments made regarding products and services of third parties are not those of the Site Administrator, and are governed by the policies and representations made by such third parties. The Site Administrator shall not be liable for or responsible in any manner for any of your dealings or interactions with third parties, or for comments and representations made with regard to such third parties or third party products and services.  You acknowledge that, with regard to any third party websites or information provided through this web site, the Site Administrator is not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the content of such third party sites or information.

Indemnification.  You agree to indemnify and hold harmless the Site Administrator and the Site Administrator's affiliates, officers, directors, employees, and agents from any claim or demand, including reasonable attorney's fees, that may be made by any third party, due to or arising out of your conduct or connection with this web site or Content contained herein, your provision of Content, your violation of these terms of use, or any other violation of the rights of another person or party in relation to this web site or the Content contained herein.

Termination and Survival.  The Site Administrator may terminate this Agreement and/or Terms of Use and/or your user account at any time in its sole discretion.  You may terminate your user account at any time by contacting the Site Administrator.  The obligations and liabilities of this Agreement and Terms of Use shall survive any termination.
     
12. Authorized and Prohibited Uses.  You may access, use and display this web site on a single computer only and download and print copies of the Content only for non-commercial, informational, personal use, so long as you comply with these terms of use and applicable laws.  Otherwise, the Site Administrator reserves all of the Site Administrator's rights, including but not limited to any and all copyrights, trademarks, patents, trade secrets, and any other proprietary right that the Site Administrator may have for this web site, its Content, and the goods and services that may be provided.  Except as expressly authorized by these terms of use, you may not reproduce, sell, publish, distribute, modify, display, or use any of this web site or the Content without the Site Administrator’s prior written permission.   If this web site permits the e-mailing of certain Content or a link through the use of an “e-mail to a friend” (or similar) icon, you may send that particular Content or link to others by e-mail, as indicated.  You agree not to infringe upon any intellectual property rights or remove or modify related proprietary notices contained in this website or the Content.
     
13. Applicable Law. You agree that these terms of use and any dispute arising out of your use of this web site or the Site Administrator's products or services shall be governed by and construed in accordance with laws of the State of California, without regard to conflict of law provisions. By registering for or using this web site, you consent and submit to the exclusive jurisdiction and venue in county of Santa Clara, California.
     
14. Miscellaneous Information.  In the event that these terms of use conflict with any law under which any provision may be held invalid by a court with jurisdiction over the parties, such provision will be interpreted to reflect the original intentions of the parties in accordance with applicable law, and the remainder of these terms of use will remain valid and intact; (ii) The failure of either party to assert any right under these terms of use shall not be considered a waiver of that party's right, and that right will remain in full force and effect; (iii) You agree that, without regard to any statute or contrary law, that any claim or cause arising out of this web site or its services must be filed within one (1) year after such claim or cause arose, or else the claim shall be forever barred; (iv) The Site Administrator may assign the Site Administrator’s rights and obligations under these terms of use; in such case, the Site Administrator shall be relieved of any further obligation.
